Terms of Service

These Terms of Service ("Terms") govern your use of the services provided by Frontdesk Systems LLC ("Frontdesk," "we," "us," or "our"), a limited liability company organized under the laws of the State of Wyoming, United States. By signing up for, paying for, or using our services, you ("Client," "you") agree to these Terms. If you are entering into these Terms on behalf of a business, you represent that you are authorized to bind that business. If you and Frontdesk sign a separate Service Agreement, that agreement controls where it differs from these Terms.

1The service

Frontdesk provides a done-for-you, AI-powered virtual receptionist service for automotive repair businesses. The service answers inbound telephone calls on your behalf, and may book appointments, capture caller and vehicle information, answer frequently asked questions, route or escalate calls, and deliver call summaries to you by text and email. The specific configuration is set up and maintained by Frontdesk based on the information you provide about your business.

2Eligibility & account information

You agree to provide accurate, current, and complete information about your business and to keep it up to date. You are responsible for the accuracy of the hours, services, pricing, and call-handling instructions you give us, and for promptly notifying us of changes.

3Plans, minutes & fees

The service is offered in two monthly plans, per shop location. The plans differ in which calls the service answers:

"Minutes" means connected talk time on calls answered by the service, measured in seconds and totaled per billing month. Unused minutes do not roll over. If you use more than your plan's included minutes, the additional minutes are billed at $0.50 per minute on your next invoice — the service is never suspended mid-month for exceeding included minutes, and we will make reasonable efforts to notify you as you approach your plan's limit. You may switch plans effective your next billing month. There is no setup fee. Fees are billed in advance for each monthly billing period and are exclusive of any applicable taxes, which are your responsibility.

4First month free

Your first 30 days of service are free, including your plan's included minutes. The free month starts on your Activation Date — the day call forwarding to the service goes live — not the day you sign up. You may cancel at any time during the free month by emailing hello@frontdesksystems.io and you will owe nothing. Unless you cancel, paid billing begins automatically on day 31.

5Automatic renewal

Your subscription renews automatically. Unless you cancel as described in Section 7, paid billing begins when your free month ends, and your subscription then renews automatically each month — the payment method on file will be charged the then-current fee for your selected plan, plus any overage minutes, at the start of each billing period without further action by you. You authorize these recurring charges to continue until you cancel.

6Card on file & payment authorization

You agree to keep a valid payment method on file, added through the secure payment link we provide. By providing a payment method, you authorize Frontdesk and our payment processor to store that payment method and to charge it automatically for the recurring monthly fee for your selected plan, any overage minutes, and any other amounts you owe under these Terms, on each renewal date, until you cancel. If a charge fails, we may retry it, and we may suspend the service if payment is not brought current within 7 days of our notice. Payment processing is handled by our third-party processor; we do not store full card numbers ourselves.

7Cancellation

There is no long-term contract. You may cancel at any time by emailing hello@frontdesksystems.io. If you cancel during your free month, you owe nothing. After paid billing begins, cancellation takes effect at the end of the current billing month — you keep the service until then, there is no cancellation fee, and fees already paid are non-refundable except as required by law. Your phone number always remains your own: ending the service takes nothing more than removing call forwarding.

8Price changes & founding rate lock

We may change plan pricing for future billing periods on at least 30 days' written notice to you. If we offered you a founding-shop or price-lock rate in writing (for example, the $297 founding rate for Missed-Call Coverage), we will honor that rate for as long as your subscription remains continuously active and in good standing — general price increases will not apply to your locked plan fee. If your subscription is canceled or lapses and you later re-subscribe, then-current published pricing applies. A rate lock covers your plan's monthly fee; overage rates and optional add-ons may still change on 30 days' notice. If you do not agree to a price change that applies to you, your remedy is to cancel before it takes effect.

9Your responsibilities & acceptable use

10Telephone numbers, forwarding & texting

You may forward an existing number to the service or use a number we provision. You are responsible for your own telephone carrier arrangements and any charges from your carrier. If we provision a number for you, it may be reassigned after your subscription ends.

Text features require carrier registration. Before appointment confirmations and notifications can be sent by text, U.S. carriers require your business to be registered for A2P 10DLC messaging. We prepare and submit this registration on your behalf using the business details you provide. Voice answering activates immediately; texting activates once carriers approve the registration — typically within your free month. Carrier decisions, timelines, and message delivery are outside our control. Texts are sent only to your own callers for appointment and message purposes, and recipients can opt out at any time by replying STOP.

11Call recording, monitoring & caller data

Calls handled by the service may be recorded, transcribed, and processed to operate, improve, and provide records of the service. Recording and notice laws vary by state, and some require the consent of all parties to a call.

You are responsible for ensuring that calls to your business may lawfully be recorded and handled by an automated service in your jurisdiction, and for any caller disclosures or consents required. We can provide a standard call-notice on your behalf at your direction, but you remain responsible for compliance. You also confirm you have the right to share, and to have us process, the caller information you direct into the service.

12Communications consent

You consent to receive operational and account communications from us by email, text message, and phone, including call summaries and service notices. You can opt out of non-essential communications, but some communications are necessary to provide the service.

13Service availability

We work to keep the service available and accurate, but we do not guarantee that it will be uninterrupted, error-free, or that it will correctly handle every call. The service relies on third-party telephony, AI, and software providers whose availability is outside our control. The service is a business tool, not an emergency service, and should not be relied on to handle life-safety emergencies.

14No guarantee of results

We do not guarantee any particular number of calls answered, appointments booked, revenue, or other business outcome. Any examples or estimates are illustrative only.

15Disclaimer of warranties

Except as expressly stated in these Terms, the service is provided "as is" and "as available," and we disclaim all other warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

16Limitation of liability

To the fullest extent permitted by law, Frontdesk will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, lost business, lost revenue, or missed calls or appointments, arising out of or relating to the service. Our total liability for any claim arising out of or relating to these Terms or the service will not exceed the total fees you paid to us in the three (3) months immediately preceding the event giving rise to the claim.

17Indemnification

You agree to indemnify and hold Frontdesk harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the service, your breach of these Terms, your business operations, or your failure to comply with laws applicable to your business, including recording and consumer-protection laws.

18Intellectual property

We retain all rights to the service, our software, configurations, and materials. We grant you a limited, non-exclusive, non-transferable right to use the service during your subscription. You retain rights to your own business information and content.

19Confidentiality

Each party agrees to protect the other's non-public business information shared in connection with the service and to use it only to provide or use the service.

20Term & termination

These Terms apply for as long as you use the service. We may suspend or terminate the service for non-payment, for breach of these Terms, or as required by law or by our providers. On termination, your right to use the service ends; sections that by their nature should survive (including fees owed, disclaimers, limitation of liability, and indemnification) will survive.

21Governing law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. The parties agree to the exclusive jurisdiction of the state and federal courts located in Wyoming for any dispute not subject to arbitration, if arbitration is later added.

22Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the service. Continued use after changes take effect means you accept the updated Terms.
